These Terms & Conditions ("Terms") govern your access to and use of PitchBooks (the "Service"), including our website, database, and any related content or products. By purchasing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1.Acceptance of Terms

By accessing or using PitchBooks, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you ("you", "user", or "customer") and PitchBooks ("we", "us", or "our").

You represent that you have the legal capacity to enter into this agreement and, if you are using the Service on behalf of an organization, that you have the authority to bind that organization to these Terms.

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4.Accounts & Access

Access to the Database is granted on a per-customer basis and is intended for a single user or organization. You are responsible for maintaining the confidentiality of your access credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

5.License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Database solely for your own internal business purposes — namely, identifying and contacting investors relevant to your own fundraising efforts.

This license does not transfer any ownership rights and may be revoked if you breach these Terms.

6.Data Sourcing & Accuracy

All data contained in the Database is sourced, compiled, and verified manually by our research team from publicly available and permissible sources. We invest significant effort to keep records accurate and current, and the Database is updated on a regular (typically weekly) basis.

Despite these efforts, investor activity, contact details, and firm status change frequently. We provide the Database on an "as is" and "as available" basis and do not warrant that every record is complete, accurate, or up to date at all times. You are responsible for independently verifying any information before relying on it.

7.Acceptable Use

You agree to use the Service lawfully and in compliance with all applicable regulations, including anti-spam and data protection laws (such as GDPR and CAN-SPAM) when contacting individuals listed in the Database. You are solely responsible for the manner in which you use the data, including all outreach you conduct.

8.Prohibited Conduct & Reselling

You may not, directly or indirectly:

Reselling or redistributing the Database in any form is strictly prohibited and constitutes a material breach of these Terms, which may result in immediate termination of access without refund and may expose you to legal liability.

9.Payments & Pricing

Prices for the Service are displayed at the point of purchase and may include limited-time promotional offers. All fees are quoted in the currency shown at checkout and are payable in advance. Where a one-time lifetime access offer is made available, it grants continued access to the Database for the operational lifetime of the product, subject to these Terms.

We reserve the right to modify pricing and promotional offers at any time. Any price change will not affect purchases already completed.

10.Refund Policy

We want you to be confident in your purchase. You may request a refund within fourteen (14) days of your purchase date by contacting us at the email provided below.

Important: Because the Service delivers immediate access to downloadable data, refunds will not be granted once any portion of the Database has been exported, downloaded, or copied. Requesting access and then exporting the data is considered full consumption of the product and forfeits eligibility for a refund.

Approved refunds are issued to the original payment method within a reasonable processing period. This policy does not affect any statutory rights you may have that cannot be waived.

11.Intellectual Property

The Service, including the Database structure, compilation, curation, branding, and all associated materials, is owned by PitchBooks and protected by applicable intellectual property laws. Except for the limited license granted above, no rights are transferred to you. All rights not expressly granted are reserved.

12.Privacy & Data Protection

We process personal data in accordance with our Privacy Policy. When you use the Database to contact individuals, you act as an independent controller of that data and are responsible for complying with all applicable privacy and electronic-communications laws, including providing required disclosures and honoring opt-out requests.

13.Third-Party Content

The Service may reference or link to third-party websites, profiles, or resources (such as LinkedIn or X/Twitter profiles). We do not control and are not responsible for the content, accuracy, or practices of any third party. Your use of third-party services is governed by their respective terms.

14.Disclaimers & No Guarantee

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We make no guarantee that using the Database will result in meetings, responses, investment, or funding of any kind. Outcomes depend on many factors beyond our control, including the quality of your outreach and your business.

15.Limitation of Liability

To the maximum extent permitted by law, PitchBooks and its owners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

16.Indemnification

You agree to indemnify, defend, and hold harmless PitchBooks and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Service, your outreach activities, or your breach of these Terms.

17.Termination

We may suspend or terminate your access to the Service immediately, without notice or refund, if you breach these Terms — including, without limitation, any reselling or unauthorized distribution of the Database. Upon termination, the license granted to you ends and you must cease all use of the Content.

18.Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

19.Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which PitchBooks operates, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction.

20.Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us and attempt to resolve the dispute informally in good faith. If the dispute cannot be resolved within a reasonable period, it shall be resolved in accordance with the governing law and jurisdiction set out above.
